Terms of Service

This is a working draft pending legal review. It explains in plain language how Piczel works, not the final binding document.

These terms govern your use of Piczel. They are written to be read, not skimmed past: they cover your account, billing, your store sales, who owns what, and what happens if things go wrong. Using the service means you accept them.

1. Acceptance and eligibility

By creating an account or using Piczel, you agree to these terms, our Privacy Policy, and our Acceptable Use Policy. If you use Piczel on behalf of a studio or other organization, you confirm you have authority to accept these terms for that organization, and "you" means both you and it.

You must be at least 18 years old, or the age of legal majority where you live, to hold a Piczel account. Piczel is a tool for running a photography business; client galleries you share may of course be viewed by anyone you choose to share them with.

2. The service

Piczel provides client galleries, portfolio websites, studio management (bookings, contracts, invoices, client records), and a print and digital store. We add and improve features regularly, and may change or retire features over time. If a change materially reduces what your plan offers, we will give you reasonable advance notice.

3. Your account

You are responsible for the activity that happens under your account and for keeping your login credentials secure. Tell us promptly at [email protected] if you suspect unauthorized access.

Keep your account details (including your email and billing information) accurate, so invoices, receipts, and important notices reach you.

Team members you invite get access according to the role you assign them. You are responsible for the access you grant and should remove team members who no longer need it.

4. Plans, trials, and billing

Piczel offers a free plan and paid subscriptions, billed monthly or annually in advance. New accounts may also receive a free trial of a paid plan; when a trial ends, you drop back to the free plan unless you choose to subscribe. We never charge you at the end of a trial without you taking out a subscription.

Prices are shown in US Dollars, or in Naira for customers in Nigeria, where billing is handled through Paystack at local prices. Prices exclude any taxes that apply to you; where we are required to collect tax, it is added at checkout.

If we change subscription prices, the new price applies from your next billing cycle and we will give you at least 30 days' notice. Plan limits (such as storage) are described on the pricing page; if you exceed them we will tell you and give you options before anything is restricted.

5. Cancellation and refunds

You can cancel your subscription at any time from your dashboard. You keep full access until the end of the period you have paid for, after which the account moves to the free plan and free-plan limits apply.

Except where the law of your country gives you a non-waivable right to one, payments are non-refundable; we do not give credit for partly used billing periods. If something has gone wrong on our side, contact us; we would rather fix it than hide behind this clause.

6. Store sales and payouts

When you sell prints, products, or digital downloads through your Piczel store, the sale is between you and your client. You are responsible for your prices, product descriptions, fulfilment, taxes on your sales, and your own refund policy toward your clients.

Payments are processed by our payment partners (such as Paystack). Payouts of your sales are made to your connected account on the published schedule, net of payment-processing fees and, on the free plan only, our 15% commission. Paid plans carry 0% commission.

If a client disputes a charge or requests a chargeback, you agree to cooperate in resolving it. Amounts reversed by a payment provider may be deducted from future payouts.

7. Your content and licence to us

You retain all rights to the photographs and content you upload. We claim no ownership of your work, ever.

So that the product can function, you grant Piczel a limited, worldwide, non-exclusive licence to host, store, process (for example resizing, watermarking, and caching), and deliver your content, solely to provide the service to you and the people you share it with, and to display it where you choose to make it public. This licence ends when you delete the content or close your account, except for short-lived caches and backups that expire on their own schedule.

You are responsible for having the rights to the content you upload, including any releases or consents your clients' local law requires.

8. Your clients and their data

When your clients use galleries you create or appear in your studio records, you are the controller of their personal data and Piczel acts as your processor. You are responsible for handling that data lawfully, including obtaining any consents required where you operate. Our Data Processing Addendum forms part of these terms and governs that processing.

9. Acceptable use

Our Acceptable Use Policy is part of these terms. In short: nothing unlawful, nothing that infringes others' rights, no abuse of the platform or other customers. We may remove content or suspend accounts that break those rules, with notice where we reasonably can.

11. Third-party services

Parts of Piczel rely on third parties: payment providers, print labs you connect, domain registrars, and similar. Their services are governed by their own terms, and we are not responsible for them, though we choose partners carefully and will help you resolve problems where we can.

12. Availability and changes

We work hard to keep Piczel fast and available, but no online service can promise 100% uptime. We may occasionally need maintenance windows, and will schedule disruptive ones with notice where practical. Status updates are published at status.piczel.io.

13. Suspension and termination

You may close your account at any time. Export your data first; the dashboard provides tools to take your photographs, client records, and documents with you.

We may suspend or terminate accounts that materially breach these terms, create legal exposure, or put the service or other customers at risk. Unless the breach is serious or the law prevents it, we will warn you and give you a chance to fix the problem first.

After an account is closed, we delete its data as described in our Privacy Policy, including the 30-day trash window, after which deletion is permanent.

14. Disclaimers

Piczel is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise the service will be uninterrupted or error-free, and you are responsible for keeping your own copies of irreplaceable work.

15. Limitation of liability

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits or revenues. Our total liability for claims arising out of the service is limited to the amount you paid us in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law, including for fraud or for rights consumer law grants you.

16. Indemnity

You agree to indemnify Piczel against third-party claims arising from your content, your sales to your clients, or your breach of these terms, to the extent the claim is caused by something within your control.

17. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the courts of Lagos, Nigeria, except that if you are a consumer, you keep any mandatory protections and venue rights of the country where you live. Before going to court, contact us at [email protected]; most issues are resolved in a conversation.

18. Changes to these terms

We may update these terms as the product and the law evolve. For material changes we will give at least 30 days' notice in-app or by email before they take effect. Continuing to use Piczel after a change takes effect means you accept the updated terms; if you do not, you may close your account and, where the law requires, receive a pro-rata refund of prepaid fees.

19. General

These terms, together with the policies they reference, are the entire agreement between us about the service. If a provision is found unenforceable, the rest remain in effect. You may not assign these terms without our consent; we may assign them as part of a merger or sale of the business with notice to you. Neither party is liable for delays caused by events beyond its reasonable control.
